Incorporation services

The future success of the corporate structure chosen by our clients can be determined by opting for a tax and legal structure that is best suited to their needs. Thanks to its practical experience and privileged relationship with several local experts, FAcTS Services can advise its clients during the set-up phase of a Luxembourg corporate structure.

At the request of its clients, FAcTS Services can draw up the articles of incorporation and the proxies required to incorporate the company. FAcTS Services can also coordinate with banks, notaries and other parties. As an additional service, FAcTS Services can assist clients in obtaining the required professional/business authorisations.

Domiciliation services

FAcTS Services operates as a domiciliation agent in accordance with the law of 31 May 1999 on the domiciliation of companies and the Conseil de l'Ordre regulation of 28 March 2001 on domiciliation. FAcTS Services provides a comprehensive range of services relating to the administration and management of Luxembourg companies. These services facilitate compliance with all the legal and administrative obligations, such as:

• Organisation of board of directors’ and shareholders’ meetings;
• Drafting of the minutes of board of directors' and shareholders' meetings;
• Maintenance of the register of shareholders and/or bondholders;
• Maintenance and archiving of company documents and administrative records as stipulated by the law on commercial companies.

FAcTS Services can also provide the following services on request:

• Provision of a registered address, adequate office space and business facilities, including technical and administrative infrastructures (phone services, secretarial staff, equipped meeting rooms, etc.);
• Recruitment of qualified staff and provision of office facilities (computer, phone and fax lines, printer, email addresses, etc.);
• Provision of independent company directors

Lastly, FAcTS Services can provide assistance during the liquidation and dissolution of Luxembourg companies.
