- Assistance in implementing an operational and technical
infrastructure:
- General assistance in establishing the structure of
Luxembourg companies, including provision of offices
and qualified independent directors;
- Setting up of internal procedures, including assessment
of administrative obligations and VAT implications of
the intra-group organisation;
- Selection of an accounting package;
- Assistance in developing solutions for reporting to
fund managers (the "general partners");
- Development of secure, efficient solutions with custodians.
- Training and supervision of the operational team based
in Luxembourg; recording of accounting entries and preparation
of statutory financial statements;
- Accounting consolidation;
- Preparation and filing of corporate income tax, municipal
business tax and wealth tax returns in accordance with advance
tax agreements;
- Correspondence with the tax authorities regarding the
returns filed and follow up on tax assessments;
- Coordination between the various advisors and parties
involved at the time of incorporation of the private equity
or real estate fund (SICAR/SIF), in particular with custodians
and with the legal and tax advisors responsible for structuring;
- Assistance with accounting and tax due diligence in the
case of new investments, disinvestments and contributions
to other structures;
- Valuation of target investments and Luxembourg structures.
